10^th Annual Riverdale Art Walk (RAW)

2008 Artist/RAW/ Vendor Agreement

This is an agreement entered into on _________________________,

between _________________________________________(artist),

________________________________________(vendor) as represented by _________________________________________, and the Riverdale Art Walk as represented by The Artists Network.

The purpose of this agreement is to set out the understandings which shall govern the participation of the artist exhibiting their work in the vendor’s establishment located at_________________________________________ Toronto, Ontario, during the Riverdale Art Walk [RAW] held from 11 am to 6pm on Saturday June 7th and Sunday June 8, 2008.

1: RAW’s Responsibilities:

• Artist’s Exhibition Area: RAW will provide to the artist options of vendors willing to supply an exhibition area for the artist during the specified week-end. The negotiation of the space shall take place between the artist and vendor. RAW will occur on the weekend of June 7th and 8th regardless of weather. Any alternate time period or compensation is at the sole discretion of the RAW committee.

• Promotion: RAW agrees to promote the event in print, web, and broadcast RAW deems beneficial. RAW is not obliged to promote any individual artist or vendor. All publicity shall show the logo of RAW, state the address and all contact information. RAW reserves the right to approve of all promotional material that may in any way be construed to represent the RAW.
• Internet: RAW intends to provide limited artist and vendor information on the Artist’s Network website, which RAW is connected. The information shall be provided by the individual artist or vendor in the form requested.
• Promotional Postcards: RAW intends to provide and grant access to a supply of promotional postcards for the use and distribution of the artist and the vendor. This material promotes the event. We encourage all artists to ensure they also have a supply of promotional material (i.e. cards, pamphlets, fact sheets and the like) to promote their work.

• The Event: RAW can not assume any responsibility or liability for any and all art work, goods or services that may be lost, stolen or damaged at any time during the RAW. The artwork, and how it is displayed is the responsibility of the artist, and any harm or injury caused by the artist’s materials will not be assumed by RAW. RAW is not responsible or liable for any/all damage, loss, or theft of either the artwork of the artist, or any goods, furniture, materials, or anything located on the vendor’s premises or belonging to the vendor as a result of the artist’s presence in their establishment.

2: Artist’s Responsibilities:

• Fees: The artist agrees to pay RAW the total exhibition fee of $175.00 or $200.00 (depending upon submission date).

• Exhibition Times: The artist agrees to exhibit the artist’s work between the hours of 11:00 am and 6:00pm on both days of the RAW. The artist agrees to staff their exhibition and the vendor is under no obligation to act on the artist’s behalf.

• Responsibility for Art Work: The artist is solely responsible for the safe storage, display and transportation of all art work the artist exhibits.

• Exhibition Facilities: The artist acknowledges that the hanging or display of their work is at the discretion of the vendor. The artist is to be respectful of the vendor’s space and business and negotiate the display and hanging of their work directly with the vendor.

· The artist is responsible for providing all materials to display their work. Any damage to the vendor’s premises as a result of display or hanging by the artist is the artist’s responsibility.

· The artist agrees to leave the area in which they were exhibiting free of any litter, debris, garbage, or anything that may be deemed harmful to the patrons of the vendor.

· The area is intended for short term use and must be maintained to ensure the artist leaves the area as they had found it. The artist agrees that this area is intended for day use only, and shall not be used overnight.

· The artist is responsible for the overnight storage of their artwork. If the work is to remain on the vendor’s premises, it is available for both the artist and vendor to sign a manifest as to the art work left on the premises.

3: Vendor’s Responsibilities:

· Exhibition Times: The vendor agrees to be open to exhibit the artist’s work between 11:00 am and 6:00 pm on both days of the RAW.

· Exhibition Facilities: The vendor agrees to provide a reasonable exhibition space for the hanging or display of the artist’s work.

o This facility should enable the artist and those wishing to see the art accessibility.

o The vendor and artist are to negotiate the hanging or display of the art work.

o It is advisable for the vendor and artist to sign a manifest of all art work that is left in the vendor’s establishment through the duration of the RAW.

4: Other Conditions negotiated between the artist and vendor:

All parties agree that this represents the entire understanding between them, and that it shall be a binding contract upon the signature by an authorized representative of RAW, the Artist, and Vendor.
